Job Description
The Senior Counsel will serve as an experienced legal advisor and strategic partner at isolved on a comprehensive range of legal matters. This role will provide authoritative legal guidance, risk mitigation, and support for corporate transactions, commercial agreements, regulatory compliance, litigation oversight, and general corporate governance.
Core Job Duties
- Render legal counsel and strategic advice to executive leadership and cross-functional business units on complex legal issues, risk assessments, and business implications
- Draft, review, and negotiate high-value commercial contracts, including vendor/supplier agreements, strategic alliances, mergers, and acquisitions, etc.
- Manage and oversee litigation matters in conjunction with outside legal counsel, including claims, disputes, and regulatory inquiries.
- Ensure organizational compliance with pertinent laws, regulations, and internal policies across all operations.
- Advise on corporate governance, entity administration, securities matters, and other board/corporate legal affairs.
- Contribute legal expertise to strategic projects and transactions.
- Identify legal risks and develop mitigation strategies aligned with business objectives.
- Mentor and provide guidance to junior legal department staff members.
- Liaise with and oversee relationships with external law firms.
Minimum Qualifications
- Juris Doctor degree from an accredited law school
- 8-10 years of legal experience, including in-house corporate counsel experience
- Extensive expertise in commercial transactions, corporate law, compliance, litigation
- Outstanding business acumen and ability to provide strategic legal counsel.
- Exceptional communication abilities to explain complex legal matters.
- Active license to practice law in the state of operation.
