Job Description

The Chief Legal Officer (CLO) will serve as the head of the corporate legal department at isolved and is responsible for the legal affairs of the entire business. They will serve as a key member of the executive leadership team working closely with Corporate Development and executives to assist in guiding strategic decisions as isolved business grows to $1 billion in revenue and beyond through both organic growth and our M&A roll-up strategy. The CLO may expect to provide legal counsel to the Board of Directors, Chairman of the Board, Chief Executive Officer, and other executive leaders. Will be a key stakeholder in strategic and tactical business decisions as well as legal and compliance decisions. The CLO will be an excellent technical lawyer with experience in the HCM technology space while being commercially oriented and will make decisions from a business perspective with strong consideration of risk management. The CLO will hold ultimate responsibility for ensuring the company is in compliance with all applicable laws and regulations.


Core Job Duties

  • Develop, optimize, and execute legal ad compliance processes in all areas of the business in a manner that achieves a fair balance between compliance and helping isolved reach its strategic growth goals
  • Negotiate partner, customer, vendor, and employee contracts and real estate leases
  • Coordinate with outside counsel and private equity sponsor on legal due diligence, agreement drafting, and negotiating and closing mergers and acquisitions
  • Coordinate with outside counsel and private equity sponsor on legal and compliance aspects of raising debt and equity capital to fund organic and inorganic growth
  • Obtain and maintain compliance with laws and regulations around our industry, such as money transmitter licensing, NACHA regulations, Patriot Act, and Privacy Laws, as well as SOC attestations.
  • Proactively protect the business from legal risks and violations
  • Manage legal claims and lawsuits across the entire business
  • Negotiate leases in the isolved real estate portfolio
  • Manage copyright and trademarks for the business
  • Advise, executive, senior management, and board members on various matters such as legal rights, and new and existing laws
  • Manage legal matters including design and oversight of the company's policy and position on legal matters
  • Examine and provide analysis of legal issues related to new products and services
  • Ensure that isolved is compliant with its data protection obligations, including, but not limited to, requests for personal data, subpoenaed data requests, court requests, DSARs, privacy policies, privacy assessments and data processing agreements.
  • Collaborate closely with key stakeholders across the business, providing recommendations and comprehensive legal and compliance support to ensure business practices align with legal requirements, including state and federal laws and regulations

Minimum Qualifications

  • Bachelor's Degree and Juris Doctor degree from an accredited law school
  • 10 years' practice with an established law firm and/or 10 years' experience serving as in house counsel
  • Proficient legal experience in fund investments, private equity owned business, SaaS software, and M&A
  • Exceptional ability to analyze and interpret issues and prepare legal opinions
  • Highly skilled in development and implementation of corporate legal strategies and solutions
  • Experience with corporate governance issues and corporate secretarial duties
  • Extensive experience in full oversight and management of corporate compliance functions
  • GC experience with a large growth HCM or SaaS business is preferred
